Terms of Service

These Terms of Service ("Terms") govern your access to and use of the EcomTrade24 Pay software platform (the "Platform"). By creating an account, using the dashboard, APIs, checkout, payment links, or related tools, you agree to these Terms.

1. The Service and EcomTrade24 Role

EcomTrade24 Pay provides merchant software for checkout integration, provider routing, payment links, API sessions, plugins, webhooks, transaction-status monitoring, reporting and related technical operations. EcomTrade24 is not the seller of your products and is not a party to the purchase contract between you and your customer.

EcomTrade24 is not a bank, payment institution, electronic-money institution, card acquirer, money transmitter, cryptocurrency exchange, broker, investment platform, portfolio manager or merchant of record. No statement on the Platform should be understood as a regulatory licence, approval or endorsement.

You remain solely responsible for your business, storefront, products, pricing, customer support, fulfilment, taxes, consumer-law obligations, refunds, disputes and compliance with laws applicable to you and your customers.

2. Eligibility & Account Use

You represent that you are legally able to enter into these Terms and that your business activity is lawful. You must provide accurate, current information and keep it updated. You are responsible for all activity that occurs under your account, including API keys, webhook endpoints, and access credentials.

If you use the Platform on behalf of a company, you represent that you have authority to bind that company to these Terms.

3. Acceptable Use & Restricted Activities

You must comply with our Acceptable Use Policy ("AUP"). Prohibited activities may result in immediate suspension or termination. We may apply payment method restrictions to certain merchant categories or risk profiles at our discretion.

4. Independent Payment Providers

Customer payment acceptance, customer identification, KYC/AML checks, sanctions screening, card or bank processing, payment-method availability, conversion and provider-side execution are performed by independent third-party providers under their own terms and privacy policies. The selected provider decides whether to accept or reject a customer or transaction.

EcomTrade24 creates the technical checkout session and may apply routing rules based on country, currency, amount, payment method, merchant configuration and provider availability. Routing does not make EcomTrade24 the processor of the customer’s card or bank payment and does not give EcomTrade24 authority to override a provider decision.

Provider names, terms and compliance steps may be shown before or during handoff. Provider and network availability can change without notice.

4A. Non-Custodial Settlement V3

Where Non-Custodial Settlement V3 is enabled, a checkout uses a deterministic smart-contract address on Polygon and Ethereum. EcomTrade24 does not possess a private key for that session address. The immutable session contract can only split received supported assets between the fixed platform-fee wallet and the merchant’s fixed chain-specific vault.

The merchant vault can release assets only to the merchant wallet fixed when the vault is created. A transaction caller or relayer can trigger the published contract function but cannot choose another recipient, change the fee, redirect the merchant amount, upgrade the contract or pause the merchant’s withdrawal rights.

Blockchain transactions are generally irreversible. You are responsible for providing wallet addresses you control and verifying that they are correct for the supported network.

Historic settlement records and legacy sessions may remain visible for reconciliation and evidence. They are not a representation that a historic technical flow is used for new V3 sessions.

5. Fees, Pricing, and Taxes

Software, platform, provider, network, conversion or other disclosed charges may apply depending on the plan, merchant configuration, selected provider and payment method. EcomTrade24 fees are shown in the merchant account or checkout configuration.

For V3 sessions, the platform-fee ratio is fixed in the immutable session contract before the deposit address is used. The contract calculates the split from the supported asset actually received. EcomTrade24 cannot increase that contract fee after payment or redirect the merchant share.

Where a third-party provider collects or distributes a fee, that collection or distribution is performed by the provider under its own terms. You are responsible for determining and paying taxes, duties and governmental charges applicable to your business or transactions.

6. Plan Billing & Feature Access

Free plan access is provided without monthly subscription charges. Pro and Unlimited plans may be billed as monthly subscriptions, as shown at checkout. Legacy/grandfathered merchants retain any explicitly granted non-recurring status.

Some features may be offered as optional add-ons or may require review/approval depending on risk profile and provider constraints.

7. Refunds & Cancellations

Package purchases are generally non-refundable once access is granted, except where required by applicable law or explicitly stated at the time of purchase. If you believe you were charged in error, contact support promptly with relevant transaction details.

Customer refunds for your products/services are your responsibility. The Platform does not guarantee that refunds are possible for every payment method.

8. Third-Party Services and Infrastructure

The Platform integrates with independent providers and infrastructure services, including payment-method providers, on-ramps, blockchain networks, RPC/webhook services, hosting, email, analytics and security tools. Their terms, privacy policies, compliance requirements, uptime and technical limitations apply independently.

EcomTrade24 does not guarantee that a provider will accept a merchant, customer, country, payment method or transaction. EcomTrade24 may remove or disable an integration when it is unavailable, unsafe, unsupported or inconsistent with these Terms.

8A. No Investment or Trading Services

The Platform does not offer investments, securities, brokerage, crypto trading, portfolio management, managed accounts, yields, interest products, profit displays or promises of financial returns. Merchants must not use EcomTrade24 checkout sessions to solicit investment deposits or misrepresent a purchase as an investment opportunity.

8B. Operator and Identity Clarification

EcomTrade24 Pay is independently operated by Philipp Hornickel under the EcomTrade24 software brand. It is not affiliated with and does not claim to be the legal successor of the former ECOMTRADE24 Limited registered under HRB 114111 B. The current Platform does not use or claim that former entity’s registration.

Suspected impersonation, fake onboarding messages, look-alike domains or unauthorized wallet instructions should be reported with the original message headers to [email protected].

9. Availability, Changes, and Updates

The Service is provided "as is" and may change over time. We may modify, suspend, or discontinue parts of the Platform at any time, including features, limits, or supported payment methods. Availability may vary due to provider uptime, maintenance, network conditions, and risk controls.

10. No Warranties

To the maximum extent permitted by law, the Platform is provided without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, EcomTrade24 Pay will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities.

Our total liability for any claims relating to the Platform is limited to the amounts you paid to us for packages in the twelve (12) months preceding the event giving rise to the claim.

12. Suspension & Termination

We may suspend, restrict, or terminate your access to the Platform at our sole discretion if we believe your activity violates these Terms, the AUP, applicable law, or poses unacceptable risk to the Platform or its partners.

Termination may result in loss of access to features and historical reporting. You remain responsible for resolving customer obligations.

13. Privacy & Data

You agree to process personal data lawfully and to provide all required disclosures to your customers. You are responsible for any personal data you collect and transmit through the Platform.

14. Governing Law

The governing law and venue applicable to a merchant relationship are those stated in the merchant account, order, invoice, or separate written agreement. Mandatory legal rights that cannot be excluded remain unaffected. Before starting formal proceedings, the parties should first attempt to resolve the matter in good faith through the support process.
